THIS SWEEPSTAKES IS OFFERED ONLY IN THE 50 STATES OF THE UNITED STATES ("U.S.") AND THE DISTRICT OF COLUMBIA ("D.C.") AND IS INTENDED FOR PARTICIPATION IN THOSE AREAS ONLY.

Sweepstakes Description:  The "TRACFONE SWEEPSTAKES" ("Sweepstakes") begins at 12:00:01 a.m. PT on 10/01/2008 and ends at 11:59:59 p.m. PT on 09/30/09 ("Sweepstakes Period"). For purposes of this Sweepstakes, all times refer to Pacific Time ("PT") The Sweepstakes consists of twelve (12) separate non-connected individual monthly sweepstakes drawings ("Monthly Sweepstakes"). Each Monthly Sweepstakes begins at 12:00:01 a.m. PT on the first day of the month and ends at 11:59:59 p.m. PT on the last day of every month. The web site's computer is the official clock for all purposes of this Sweepstakes. Prospective participants will be invited to register for the Web Site (defined below), to answer questions and refer friends to enter this Sweepstakes.

How to Enter: To enter this Sweepstakes, you must first register with the Sweepstakes Web Site located at www.TracfoneSweepstakes.com ("Web Site"). To register, access the Web Site. If this does not take you directly to the Sweepstakes registration page, then click on the Sweepstakes icon or text link. When you arrive at the Sweepstakes home page and registration form ("Sweepstakes Home Page"), complete and submit the registration form. Information required on the registration form consists of: your complete first and last name, zip code of residence, valid email address and primary mobile phone number (or land line). You will also be presented the opportunity to answer up to five (5) simple survey questions (optional) (collectively "Registration Information"). Before you can submit your registration you must also select a checkbox confirming that you are 13 years of age or older. If a potential registrant is a resident of a jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to registering or submitting any personally identifiable information. All required Registration Information must be completed in full. Participants can only register and participate in the Sweepstakes under one (1) email address. Once an email address is registered by a participant, that email address cannot be used by any other person at the Web Site. Only the participant registered under a particular email address may participate in the Sweepstakes. Entries for a particular Monthly Sweepstakes must be received by 11:59:59 p.m. PT on the last day of that particular Monthly Sweepstakes. Entries for the last Monthly Sweepstakes must be received by 11:59:59 p.m. PT on 09/30/09. Limit one (1) Entry per person/email address per day during the Sweepstakes Period. Entries in excess of the stated limits will be disqualified. Any attempted form of entry other than as described herein is void.

Eligibility: This Sweepstakes is only open to permanent legal residents of the fifty (50) states of the U.S. and D.C., who are physically located and residing therein (excluding Guam, Puerto Rico and all other U.S. and foreign territories and possessions), who are 18 years of age or older as of the date of entry. Entrants must also have either a valid social security number and/or a valid U.S. personal tax identification number. Employees of TracFone Wireless, Inc., ("Sponsor"), or co-owned companies, Sweepstakes administrator, their advertising or promotion agencies, those involved in the production, development, implementation or handling of the Sweepstakes, any agents acting for, or on behalf of the above entities, their respective parent companies, officers, directors, subsidiaries, franchisees, affiliates, licensees, service providers, prize suppliers, any other person or entity associated with the Sweepstakes (collectively "Sweepstakes Entities") and/or members of their immediate families (spouses, children, siblings, parents) and/or persons living in the same household as such persons, whether or not related, are ineligible to enter the Sweepstakes.

Prizes/Odds of Winning: Sixty (60) prizes (Five (5) prizes per Monthly Sweepstakes) as fully described below.

Twelve (12) First Prizes will be awarded (One (1) First Prize will be awarded per Monthly Sweepstakes):  Each First Prize winner will receive one (1) $500 U.S. Visa ^TM Gift Card. ARV of each First Prize is $500 U.S.

Twelve (12) Second Prizes will be awarded (One (1) Second Prize will be awarded per Monthly Sweepstakes): Each Second Prize winner will receive one (1) $250 U.S. Visa^TM Gift Card. ARV of each Second Prize is $250 U.S.

Twelve (12) Third Prizes will be awarded (One (1) Third Prize will be awarded per Monthly Sweepstakes): Each Third Prize winner will receive one (1) $100 U.S. Visa ^TMGift Card. ARV of each Third Prize is $100 U.S.

Twelve (12) Fourth Prizes will be awarded (One (1) Fourth Prize will be awarded per Monthly Sweepstakes): Each Fourth Prize winner will receive one (1) $75 U.S. Visa^TM Gift Card. ARV of each Fourth Prize is $75 U.S.

Twelve (12) Fifth Prizes will be awarded (One (1) Fifth Prize will be awarded per Monthly Sweepstakes): Each Fifth Prize winner will receive one (1) $30 U.S. Visa^TM Gift Card. ARV of each Fifth Prize is $30 U.S.

Odds of winning a Monthly Sweepstakes prize depend on the total number of eligible Sweepstakes Entries received for that particular Monthly Sweepstakes. Use of Gift Cards subject to terms and conditions stated on the card. No substitution, transfer, or cash equivalent for a prize, except that Sponsor may substitute a prize with one of equal value for any reason. Prize notifications will be sent to the email address of the potential winning registrant. Upon notification of winning and confirmation by a winner of his/her mailing address, prize will be shipped to such address. Any depictions of prizes are for illustrative purposes only. All federal, state, local or other taxes including, without limitation, income taxes are the sole responsibility of the winners. Sweepstakes Entities are not responsible for delays in delivery of prizes. Limit one (1) prize per person/family/household per monthly Sweepstakes.Sweepstakes administrator is not the guarantor of any prizes.

Drawing and Notification of Winners: Potential winners will be randomly selected in a drawing held on or about seven (7) days after the end date of each Monthly Sweepstakes ("Drawing Date") from among all eligible Entries received by Sweepstakes administrator for that particular Monthly Sweepstakes. Non-winning eligible Monthly Sweepstakes Entries will not be retained for subsequent Monthly Sweepstakes drawings. Potential winners (or, if a resident of a jurisdiction that deems winners under the age of 21 to be minors, their parent or legal/guardians) will be notified by email within approximately one (1) week of Drawing Date. Potential winners (or, if a resident of a jurisdiction that deems winners under the age of 21 to be minors, their parent or legal/guardians) will have ten (10) business days within which to respond to the prize notification email and provide his/her mailing address or his/her entry will be disqualified and his/her prize forfeited. If a potential winner cannot be contacted within ten (10) days of the first attempt to contact him/her, despite reasonable repeated attempts to do so, or if he/she fails to sign and return the affidavit of eligibility and liability/publicity release within the required time period, an alternate randomly selected winner will be selected in his/her place. If the alternative winner cannot be contacted or does not reply to the email notification within the above stated time periods, the potential alternative winner will be disqualified and the applicable prize will be forfeited. Return of any prize/prize notification sent to an original or alternate winner as undeliverable may also result in forfeiture. In the case of forfeiture by both the original winner and an alternate winner, no prize will be awarded for the applicable prize drawing. If an entrant changes his/her email address after entry into the Sweepstakes, it is the entrant's sole responsibility to notify Sweepstakes administrator by sending an email to: Administrator@tracfonesweepstakes.com This email must be received by the end date of the particular Monthly Sweepstakes entrant entered and contain the name of this Sweepstakes in the subject line.

General Conditions: Sweepstakes is subject to these Official Rules and all federal, state and local laws and regulations (collectively 'Rules and Laws"). Potential winners (or, if a resident of a jurisdiction that deems winners under the age of 21 to be minors, their parent or legal/guardians) may be required to sign, execute, have notarized (or supply a legible copy of his/her government issued I.D.), and return in full and completely filled out an Affidavit of Eligibility, a Liability Release, a Publicity Release and any other documentation that Sponsor requires (collectively "Affidavit/Release Forms") within Ten (10) business days after receipt. Failure to return Affidavit/Release forms within Ten (10) business days may result in disqualification. By entering this Sweepstakes, entrants agree to waive any right to claim any ambiguity or error in the Official Rules of the Sweepstakes, or the Sweepstakes itself, and agree to be bound by these Official Rules and by all decisions of the Sponsor, whose decisions are binding and final in all respects. By accepting a prize, winners (or, if a resident of a jurisdiction that deems winners under the age of 21 to be minors, their parent or legal/guardians) attest to the authenticity of his/her winning Sweepstakes Entry. Except where prohibited by law: (1) entry and/or winners' (or, if a resident of a jurisdiction that deems winners under the age of 21 to be minors, their parent or legal/guardians) acceptance of a prize constitutes permission for the Sponsor to: use winner's name, address (city and state), photo, likeness, biographical information, statement and voice for advertising/publicity purposes worldwide and in all forms of media (including posting on a Web Site), in perpetuity, without further notice to or compensation in connection with the promotion of said Sweepstakes and/or Sponsor's products and services, and (2) Sponsor has the right to modify, edit, adapt, electronically alter, use, assign and/or dispose of such Sweepstakes Entries however it sees fit and without any notice or compensation to entrant or any third parties. Any person attempting to defraud or tamper with the Sweepstakes will be subject to prosecution and is thereby ineligible. If, for any reason, the Sweepstakes is not capable of running as originally planned, Sponsor reserves the right to cancel, suspend or modify the Sweepstakes or any portion thereof and conduct any or all of the drawings from among all salvageable eligible Sweepstakes Entries received as of the termination date, if any, in the sole discretion of Sponsor. In case of a dispute over the identity of the entrant who submitted a winning Sweepstakes Entry, the owner of the email account will be deemed the entrant. The "authorized account holder" is deemed the natural person who is assigned to an e-mail address by an internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Said owner must comply with these Official Rules and may be required to provide proof of ownership of the email account.

Disclaimers: Sweepstakes Entities are not responsible or liable for, and will deem ineligible, multiple Sweepstakes Entries in excess of the stated limit. Sweepstakes Entries that are entered by other than human means or mass Sweepstakes Entries (such as by an automated computer program or any non-human mechanism, entity, or device), or Sweepstakes Entries that are illegible, late, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, or otherwise not in compliance with these Official Rules will be disqualified. By entering the Sweepstakes, entrants agree and acknowledge to be bound by all applicable state and federal Rules and Laws. The decisions of the Sponsor and Sweepstakes administrator are final and binding in all respects. Entrants waive any rights to claim ambiguity with the Rules and Laws. Sweepstakes Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with: participation in this Sweepstakes; human error; incorrect or inaccurate transcription of Registration Information; acceptance/possession, use/misuse, and/or defects of the prizes awarded herein; any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, or internet service provider utilized by Sweepstakes; interruption or inability to access Sweepstakes, Web Site, or any online service via the internet due to hardware or software compatibility problems; any damage to entrant's (or any third person's) computer and/or its contents related to or resulting from any part of this Sweepstakes; any lost/delayed data transmissions, omissions, interruptions, defects and/or any other errors or malfunctions, even if caused by the negligence of one of the Sweepstakes Entities. By entering, entrants and prize winners (if a resident of a jurisdiction that deems winners to be minors, their parent or legal/guardians) further agree to release, discharge, indemnify and hold harmless the Sweepstakes Entities from and against any and all claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting or arising, in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any prize, or participation in the Sweepstakes or any Sweepstakes-related activity. By entering, entrants further agree to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities, and hereby acknowledge that said Sweepstakes Entities have neither made nor are in any manner responsible or liable for any, representation or guarantee, express or implied, in fact or in law, relative to any prize, including express warranties provided exclusively by the prize supplier(s) that may be sent along with the prizes, its quality, merchantability, fitness for a particular purpose or suitability for use. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.

DISPUTES: THIS SWEEPSTAKES IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF CALIFORNIA, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN THE CITY OF LOS ANGELES AND THE STATE OF CALIFORNIA. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF ("JAMS RULES"). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN CALIFORNIA. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF LOS ANGELES IN CALIFORNIA. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY'S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.

Names of Winners/Official Rules: For the list of winners, send an email to: Administrator@TracfoneSweepstakes.com with the name of the Sweepstakes in the subject line. All email requests must be received not later than two (2) months after the stated end date of the Sweepstakes Period. The Official Rules will be available on the Web Site during the entire Sweepstakes. Names of winners may also be posted on the Web Site.
